1Who we are
Caravela is operated by Pragma Group S.A.R.L, a company registered in Lebanon (VAT No. 450296-601), Galaxy Complex, Block B, Floor 3, Galerie Semaan, Beirut, Lebanon. In these terms, “we” and “us” mean Pragma Group S.A.R.L. You can reach us at info@pragmagrouplb.com.
2Who may join
Membership is for companies, not individuals. You may apply on behalf of a company only if you are authorised to enter into agreements for it. By applying you confirm that you are.
Every application is reviewed by a person before access is granted. We may ask for additional documents, and we may decline an application without being obliged to give a detailed reason.
3What “verified” means — and what it does not
Before approving a company we check that it is registered, that the registration matches the name it applied with, that any licence its stated activity requires is present, and that its public presence is consistent with what it told us.
Verified means we checked this company’s registration and licences. It is not a guarantee of product quality, of solvency, or of payment.
We are not a party to any transaction between members. We do not hold funds, inspect goods, arrange shipping, or guarantee that either side performs. Deciding whether to trade with another member, and on what terms, is yours alone.
4Keeping your information true
What you publish must be accurate. Do not list goods you cannot supply, claim brands you are not authorised to sell, or describe a role your documents do not support.
If your registration, licences, ownership or contact details change, update them. A company whose details no longer match what was verified may be suspended until they do.
5Membership and payment
Membership runs for twelve months from the day it is activated and costs $2,500 per year. Activation happens when payment is confirmed, not when it is sent.
Payment is by bank transfer in US dollars. Bank charges at your end are yours to pay. Where Lebanese VAT applies, it is added to the invoice.
Membership does not renew automatically. Before it ends we remind you, and it continues only if you pay for the next year.
When a membership lapses, access to the marketplace closes. Your company record, listings and documents are retained, so renewing restores them rather than starting you over.
6Cancellation and refunds
You may stop using Caravela, or ask us to close your account, at any time.
All membership fees are non-refundable once paid. If you cancel or stop using your membership part-way through the year, the unused part is not refunded.
If we suspend or remove your company because it broke these terms, nothing is refunded.
If we close a company’s account even though it has not broken these terms, we decide any refund case by case, depending on the situation.
7Boosts and other paid features
A boost features your listing, buying request or company page for the period you choose, at the price shown when you request it. It starts when we confirm your payment.
- You can cancel a boost at no cost before you pay for it.
- If you have paid for a boost and cancel it before it starts, we refund what you sent on request.
- Once a boost has started it cannot be refunded, including if you stop it early or the listing is taken down for breaking these terms.
- A boost does not guarantee views, enquiries or sales.
8What will get you removed
We will suspend or remove a company that:
- submits forged, altered or borrowed documents;
- impersonates another company, or lists under a brand it has no right to sell;
- uses the platform to collect members’ contact details for bulk soliciting;
- shares its account with a company that is not a member;
- attempts to access data, accounts or documents that are not its own.
Suspension takes effect immediately and ends every active session for that company. Where the reason is serious, we may remove a company without notice and without refund.
9What you post stays yours
Your listings, photographs and company description remain yours. You grant us permission to display them to other members, and to show them in search within the platform, for as long as you are a member.
You are responsible for having the right to publish what you upload. Do not post another company’s photographs or text.
10Availability
We aim to keep the platform running continuously, but we do not promise uninterrupted service. Maintenance, failures and problems at suppliers we depend on will happen.
11The limits of our responsibility
Our responsibility to you is limited to providing access to the platform. We are not responsible for losses arising from a trade between members — goods not delivered, payment not received, quality disputes, or a counterparty that turns out to be dishonest.
12Your responsibility for what you do
If a claim is made against us because of what your company posted, or because of a trade, dispute or breach of these terms involving your company, your company will cover our reasonable costs and losses arising from it.
13Events outside our control
We are not responsible for delays or failures caused by events we cannot reasonably control. These include power or internet outages, failures at suppliers we depend on, banking restrictions, government action, unrest, war or natural disasters.
14Governing law and disputes
These terms are governed by the laws of Lebanon. If a disagreement arises, write to us first at info@pragmagrouplb.com, and both sides will try in good faith to settle it within 30 days. If it is not settled, the courts of Beirut have exclusive jurisdiction.
15Language
These terms are published in English and Arabic. If the two differ, the English text prevails.
16Changes to these terms
We may change these terms. Where a change materially affects your rights, we will tell members before it takes effect and ask you to accept the new version the next time you sign in.
